LogicWave Technologies operates as a business-to-business remote staffing and operational support provider. Our services include customer support outsourcing, back-office operations, administrative support, data entry, email management, and workforce coordination services. All services are provided subject to separate commercial agreements where applicable.

Website Usage

You agree to use this website only for lawful business purposes. Any attempt to misuse the website, interfere with infrastructure, gain unauthorized access, distribute malicious software, scrape data, or disrupt platform functionality is strictly prohibited.

LogicWave Technologies reserves the right to restrict, suspend, or permanently block access where suspicious, abusive, or unlawful activity is detected.

Service Enquiries

Submitting a contact form, callback request, or enquiry through this website does not create a legally binding agreement or guarantee service availability. Any staffing engagement or commercial relationship shall only become effective after written confirmation and execution of a separate agreement between the Parties.

We reserve the right to refuse or discontinue enquiries at our sole discretion.

Personnel & Employment Structure

All personnel introduced or assigned through LogicWave Technologies remain employees, contractors, or authorized representatives of LogicWave unless otherwise agreed explicitly in writing.

Clients may direct day-to-day operational workflows and task management; however, no employment relationship, partnership, or joint venture shall exist between the Client and assigned personnel. LogicWave remains solely responsible for payroll processing, HR administration, recruitment management, and workforce coordination.

Non-Circumvention & Direct Hiring Restrictions

Clients agree not to directly or indirectly solicit, recruit, hire, engage, or contract any personnel introduced by LogicWave outside approved written arrangements.

This restriction applies during the active engagement period and for twenty-four (24) months following termination of services. This includes hiring attempts made through subsidiaries, affiliated businesses, recruitment agencies, freelance arrangements, contractors, consulting agreements, or third-party intermediaries.

Any breach of this provision may result in immediate termination of services and legal action.

Confidentiality of Commercial Information

All pricing structures, staffing rates, employee salary information, agreements, operational methodologies, recruitment structures, internal processes, invoices, and business documentation exchanged between the Parties shall remain strictly confidential.

Clients shall not disclose, share, distribute, or discuss such information with assigned personnel, former personnel, competitors, recruitment agencies, consultants, or any unrelated third party without prior written consent from LogicWave Technologies.

Clients are specifically prohibited from sharing commercial agreements or billing structures with assigned employees.

Intellectual Property

All website content, branding, graphics, service descriptions, operational structures, workflows, documents, and business methodologies remain the intellectual property of LogicWave Technologies unless otherwise stated.

No content may be copied, reproduced, redistributed, modified, republished, or commercially exploited without prior written permission.

Payments & Commercial Terms

All invoices issued by LogicWave Technologies are payable within the agreed payment period stated in the applicable service agreement or invoice.

Failure to make payment may result in suspension of services, removal of assigned personnel, restriction of access, or termination of engagement. All fees paid are non-refundable unless otherwise agreed explicitly in writing.

Any disputes relating to services shall not automatically suspend payment obligations.

Replacement of Personnel

LogicWave may replace assigned personnel where performance concerns arise, employees resign, operational restructuring occurs, or staffing continuity requires replacement.

Replacement timelines are commercially reasonable estimates only and may vary depending on role requirements, recruitment availability, notice periods, and operational conditions.

Limitation of Liability

LogicWave Technologies provides staffing and workforce management services only. Clients remain solely responsible for operational supervision, workflow approvals, access permissions, compliance obligations, and final review of all work outputs.

To the maximum extent permitted by law, LogicWave Technologies shall not be liable for indirect, incidental, consequential, or commercial damages including loss of profit, loss of revenue, customer disputes, employee performance issues, operational interruptions, workflow delays, cyber incidents, or third-party platform failures.

Our maximum aggregate liability shall never exceed the total amount paid by the Client to LogicWave during the preceding thirty (30) days.

Force Majeure

LogicWave Technologies shall not be liable for delays, interruptions, or failure to perform caused by events beyond reasonable control, including internet failures, infrastructure outages, cyberattacks, natural disasters, labor shortages, government actions, pandemics, telecommunications failures, or power disruptions.

Third-Party Platforms

Our services and website may integrate with third-party software, communication systems, hosting providers, CRM platforms, and operational tools. LogicWave Technologies shall not be responsible for outages, policy changes, vulnerabilities, failures, or operational disruptions originating from third-party systems.

Website Availability

While we implement commercially reasonable infrastructure and security measures, we do not guarantee uninterrupted website availability, error-free functionality, or absolute protection against unauthorized access or cyber incidents.

Website access may occasionally be interrupted for maintenance, upgrades, operational improvements, or unforeseen technical events.

Governing Law

These Terms and Conditions shall be governed and interpreted in accordance with the laws applicable to the contracting LogicWave entity unless otherwise agreed separately in writing.

Any disputes arising from use of the website or services shall be subject to the exclusive jurisdiction determined by LogicWave Technologies.

Changes to Terms

LogicWave Technologies reserves the right to update, modify, or replace these Terms and Conditions at any time without prior notice. Continued use of the website following publication of revised Terms constitutes acceptance of those changes.
